VIEWER CONTENT SUBMISSION RELEASE

By submitting or transmitting, by any means now known or later developed, any audio, video, message, or other material (the “Content”) to We Sound Crazy, LLC, its officers, employees, affiliates, and/or assigns (“WSC”) for potential use in the We Sound Crazy podcast (the “Program”), you (“Participant” or “you”) agree to the following:

  1. Grant and Ownership. You hereby irrevocably assign to WSC, exclusively and in perpetuity, throughout the universe, all right, title, and interest (including all copyrights and related rights, all renewals, and extensions thereof, and all proceeds and causes of action arising therefrom) in and to the Content. To the extent any rights cannot be assigned, you grant WSC an irrevocable, perpetual, royalty-free, fully paid, transferable, sublicensable, worldwide license to use, reproduce, edit, adapt, modify, distribute, publicly perform, publicly display, and otherwise exploit the Content in any manner and in any media now known or later developed.

  2. Use of Content. WSC may use the Content, in whole or in part, in connection with the Program and any related content, including promotional, advertising, marketing, and ancillary materials (collectively, the “Program Materials”). WSC may edit or modify the Content in its sole discretion, without any further approval by Participant.

  3. No Obligation/No Compensation. WSC has no obligation to use the Content. You will receive no payment, credit, or other compensation for the submission or use of the Content.

  4. Your Representations. You represent and warrant that: (i) you are at least 18 years old; (ii) you own or control all rights necessary to submit the Content and grant these rights; (iii) the Content does not infringe or violate any third-party rights (including copyright, privacy, or publicity rights); and (iv) you have obtained all necessary rights, licenses, consents, and permissions from any third parties appearing in or contributing to the Content.

  5. Release. You release WSC and its affiliates, and their respective members, managers, officers, employees, agents, licensees, successors, and assigns from any claims arising out of or related to the use (or non-use) of the Content, including claims for defamation, invasion of privacy, or right of publicity. You waive any moral rights to the extent permitted by law.

  6. Name, Image, and Likeness. You grant WSC the right to use your name, voice, image, likeness, and biographical information as embodied in the Content in connection with the Program and Program Materials, in all media, throughout the universe, in perpetuity.

  7. Assignment. WSC may freely assign its rights under these terms. You may not assign your rights.

  8. Indemnification. Participant agrees to indemnify, defend, and hold harmless WSC and its affiliates, and their respective members, managers, officers, employees, agents, licensees, successors, and assigns from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) any breach of Participant’s representations, warranties, or obligations, or (ii) WSC’s use of the Content as permitted herein

  9. Governing Law. These terms are governed by the laws of the State of Tennessee. Any dispute arising from this Release shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee.

  10. Entire Agreement. This Release constitutes the entire agreement between Participant and WSC with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings.

By submitting Content, you acknowledge that you have read and agree to these terms.
